1. Acceptance of Terms
By accessing or using Ads Lord ("Service"), which is operated by ARO Flows, you ("Agency", "User", "you") agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service.
2. Description of Service
Ads Lord provides automation tools that help Agencies:
- Collect creative assets and campaign data via forms.
- Transform submissions into structured ad units.
- Upload and manage campaigns via Meta's Marketing APIs.
- Maintain operational logs.
Crucial Notice: All ads created via Ads Lord are set to Active status by default, but the Agency can change this to Paused at any time. Active ads may spend immediately upon campaign launch. The Agency is solely responsible for: (1) reviewing all ad content for compliance with Meta policies and applicable laws, (2) verifying budget limits and targeting parameters, and (3) approving or pausing ads as needed. ARO Flows is not responsible for ad content, budget spend, targeting errors, or policy violations. By submitting ads through Ads Lord, the Agency assumes full liability for ad compliance.
3. Roles & Responsibilities
3.1 The Agency
- Acts as the Data Controller for its clients.
- Ensures it has all necessary legal consents to process client data.
- Authorizes Ads Lord to access specific Ad Accounts, Pages, and Catalogs via Meta Business Manager.
- Is responsible for the final review of all ads before spending money.
3.2 ARO Flows / Ads Lord
- Acts as a Data Processor (Tech Provider).
- Provides the infrastructure to automate ad creation.
- Does not guarantee marketing results (ROAS, CPA, etc.).
- Does not make decisions on budget, bidding strategy, or creative content.
4. Meta Integrations & System Users
By using the Service, you utilize Facebook Login for Business to authorize Ads Lord. You acknowledge that:
- System User: Ads Lord may utilize a "System User" (a non-human automated user) within your Business Manager (or connected to your assets) to perform actions.
- Authorization: You grant this System User permission to access and modify your specified Ad Accounts, Pages, and Catalogs.
- Token Usage: Ads Lord will store and use the System User's access token to execute your automation requests.
- Compliance: You are solely responsible for ensuring your use of Meta assets complies with Meta's Platform Policies and Advertising Standards.
5. Access & Revocation
You retain full control over Ads Lord's access. You may revoke access at any time by:
- Removing the App or System User from your Meta Business Settings.
- Disconnecting the integration within the Ads Lord dashboard.
Upon revocation, Ads Lord will immediately lose the ability to update or manage your ads.
6. Data Ownership
All creative assets, campaign data, and client lists remain the property of the Agency and/or its clients. Ads Lord claims no ownership over your ad content. You grant us a limited, non-exclusive license to process this data solely to provide the Service.
7. Fees & Payments
If the Service is offered as a paid subscription, pricing and payment terms will be provided in a separate Order Form or pricing page. Failure to pay may result in suspension of the Service.
8. Acceptable Use
You agree not to use the Service to:
- Promote illegal, misleading, or prohibited content (e.g., hate speech, illegal drugs, scams).
- Violate Meta's policies.
- Attempt to reverse-engineer our API or security mechanisms.
- Share your login credentials with unauthorized third parties.
We reserve the right to suspend accounts that violate these rules.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available." ARO Flows makes no warranties regarding:
- Uninterrupted service or 100% uptime.
- The accuracy of Meta's API responses.
- Specific financial outcomes from your advertising campaigns.
10. Limitation of Liability
To the maximum extent permitted by law:
- No Consequential Damages: ARO Flows shall not be liable for indirect, incidental, or consequential damages (including lost profits or wasted ad spend).
- Ad Spend Liability: ARO Flows is strictly not liable for ad spend. It is the Agency's responsibility to verify budgets and targeting before activating any paused ad created by the Service.
- Liability Cap: Our total liability for any claim shall not exceed the amount paid by the Agency to ARO Flows in the three (3) months preceding the claim.
11. Indemnification
The Agency agrees to indemnify and hold harmless ARO Flows from any claims, damages, or losses arising from:
- The Agency's violation of these Terms.
- The content of the ads created or managed by the Agency.
- The Agency's violation of Meta's policies or applicable laws.
12. Termination
Either party may terminate the Service at any time. Upon termination, the Agency is responsible for revoking Meta access. ARO Flows will delete or anonymize Agency data in accordance with our Privacy Policy.
13. Governing Law
These Terms shall be governed by the laws of the State of Israel, without regard to conflict of law principles.
14. Changes to Terms
We may update these Terms periodically. We will notify active Agencies of material changes. Continued use of the Service after such changes constitutes acceptance.
15. Meta Disclaimer
Ads Lord is an independent tool and is not affiliated with, sponsored by, or endorsed by Meta Platforms, Inc. "Facebook" and "Instagram" are trademarks of Meta Platforms, Inc.
